UTC Terms and Conditions

1. Introduction

Welcome to Universal Traders Coin ("UTC"). These Terms and Conditions ("Terms") govern your access to and use of our platform, which includes, but is not limited to, our blockchain network, decentralized exchange, NFT marketplace, staking services, and associated tools and applications provided by Universal Traders Coin ("Company," "we," "us," or "our"). These Terms apply to all users, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

By accessing or using any part of the UTC platform, you agree to be bound by these Terms. If you do not agree to all the Terms, then you may not access the platform or use any services. Please read these Terms carefully before using our services.

If you are using the platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree to these Terms on behalf of that entity.

By accessing or using the UTC platform, you agree to comply with and be bound by these Terms and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and the Company. If you do not agree to these Terms, you must immediately cease using the platform.

3.3. Modifications to Terms

We reserve the right to modify, update, or change these Terms at any time, at our sole discretion. Any changes will be effective immediately upon posting on the platform. It is your responsibility to review these Terms periodically to stay informed of any updates. Your continued use of the platform after any changes to the Terms constitutes your acceptance of those changes.

4. User Obligations

4.1. Account Registration and Maintenance

To access certain features of the UTC platform, such as trading, staking, and participating in governance, you must create an account. During registration, you must provide accurate, current, and complete information about yourself.  This includes, but is not limited to, the following:

We reserve the right to refuse or suspend access to the platform if we are unable to verify your identity.

By providing this information, you consent to its use for the purposes of account creation, verification, and operation of the UTC platform. We use this information to ensure the security of your account and to facilitate transactions.

You agree to keep your account information up to date and accurate at all times. You are responsible for maintaining the confidentiality of your account credentials, including your password, private keys, and any other security measures associated with your account.

4.2. Security

We implement industry-standard security measures to protect your personal information. However, it is important to maintain the confidentiality of your account credentials. You are responsible for safeguarding your password and wallet details.

4.3. Prohibited Activities

4.3.1. Unlawful Activities

You agree not to use the platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the platform. This includes, but is not limited to, engaging in activities that violate any laws, regulations, or industry standards.

4.3.2. Unauthorized Access

You must not attempt to gain unauthorized access to any part of the platform, its related systems, or networks. This includes, but is not limited to, hacking, phishing, or using any automated systems to access the platform.

4.3.3. Market Manipulation

You agree not to engage in any form of market manipulation, including but not limited to wash trading, front running, spoofing, or any other activities that artificially manipulate the market or create misleading appearances of trading activity.

4.4. Compliance with Laws

You are responsible for ensuring that your use of the platform complies with all applicable laws, regulations, and guidelines, including but not limited to anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. You must not use the platform if such use would violate any applicable law or regulation in your jurisdiction.

5. Platform Usage

5.1. Cryptocurrency Transactions

5.1.1. Irreversibility

All cryptocurrency transactions conducted on the UTC platform are irreversible once confirmed on the blockchain. This includes transfers, trades, and other transactions involving UTC or any other supported cryptocurrency. You are solely responsible for ensuring the accuracy of transaction details before initiating any transaction.

5.1.2. Transaction Fees

The platform may charge transaction fees for certain activities, including but not limited to trading, staking, and transfers. These fees are subject to change and will be clearly communicated to you before you confirm any transaction. You are responsible for paying all applicable fees.

5.2. Staking

5.2.1. Staking Overview

Staking involves locking your UTC or other supported cryptocurrencies on the platform to participate in network operations, such as block validation and governance. In return, you may earn rewards in the form of additional UTC or other tokens. Staking is subject to specific rules and conditions, which will be provided at the time of staking.

5.2.2. Risks

Staking involves certain risks, including the potential loss of staked assets due to network errors, validator misconduct, or other unforeseen events. By staking your assets, you acknowledge and accept these risks. The Company is not responsible for any losses incurred as a result of staking.

6. Privacy Policy

6.1. Data Collection

As part of your use of the UTC platform, we may collect personal information from you, including but not limited to your name, email address, IP address, and information provided during the KYC process. This information is collected to provide and improve our services, ensure compliance with legal obligations, and enhance platform security.

We may also use your information to comply with legal obligations, such as reporting requirements under AML and CTF regulations.

We do not sell, trade, or otherwise transfer your personal information to outside parties without your consent, except as necessary to provide our services or comply with legal obligations. We may share your information with third-party service providers who assist us in operating the platform, conducting business, or servicing you, provided that these parties agree to keep this information confidential.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for personal or internal business purposes, in accordance with these Terms. This license does not grant you any rights to use our trademarks, logos, or other intellectual property, except as expressly authorized in writing by us.

7.3. Restrictions

You agree not to copy, modify, distribute, sell, lease, or create derivative works based on any part of the platform or our intellectual property, except as expressly permitted by these Terms. You also agree not to reverse engineer, decompile, or attempt to extract the source code of any software provided on the platform.

7.4. User-Generated Content

If you submit, post, or otherwise make available any content, including but not limited to text, images, videos, or code, through the platform, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, distribute, and display such content in connection with providing our services. You represent and warrant that you have the necessary rights to grant this license.

8. Disclaimers and Limitation of Liability

8.1. No Warranty

8.1.1. Platform Availability

The platform and all services provided by the Company are offered on an "as-is" and "as-available" basis. We do not warrant that the platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. The Company disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.1.2. Content Accuracy

While we strive to provide accurate and up-to-date information on the platform, we do not warrant or guarantee the accuracy, completeness, or reliability of any content, including but not limited to transaction data, market information, or User-generated content.

8.2. Limitation of Liability

8.2.1. General Limitation

To the fullest extent permitted by law, the Company, its affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the platform, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

8.2.2. Specific Risks

You acknowledge and accept the inherent risks associated with cryptocurrency transactions, including but not limited to the volatility of digital assets, the risk of loss of funds, and the risk of unauthorized access to your account. The Company shall not be liable for any losses resulting from these risks, including losses due to hacking, theft, or any other security breach.

8.2.3. Third-Party Services

The platform may contain links to third-party websites, services, or resources that are not owned or controlled by the Company. We are not responsible for the content, privacy policies, or practices of any third-party websites or services, and you access them at your own risk.

8.3. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

9. Dispute Resolution

9.1. Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us to attempt to resolve the dispute informally. We will respond to your concerns and work with you to resolve the issue.

9.2. Arbitration

If the dispute cannot be resolved informally, it shall be resolved by binding arbitration in accordance with the rules of the applicable arbitration body. The arbitration shall take place in the jurisdiction of the Company's registration, and the language of the arbitration shall be English. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

9.3. Class Action Waiver

You agree that any dispute arising out of or related to these Terms or the platform will be resolved on an individual basis, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

10. Termination

10.1. Termination by the Company

We may, in our sole discretion, terminate or suspend your access to the platform at any time, with or without notice, for any reason, including but not limited to your breach of these Terms or any applicable laws.

10.2. Termination by You

You may terminate your account at any time by discontinuing your use of the platform and notifying us of your intent to terminate. Upon termination, your right to access and use the platform will immediately cease.

10.3. Effect of Termination

Upon termination of your account, you will no longer have access to any data or content stored on the platform, and we may delete such data or content without further notice. Termination does not relieve you of any obligations or liabilities arising prior to termination, including any indemnity obligations, payment obligations, or any other obligations that survive termination of these Terms.

11. Miscellaneous

11.1. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the platform, constitute the entire agreement between you and the Company regarding your use of the platform. They supersede all prior or contemporaneous agreements, representations, and understandings between you and the Company, whether written or oral.

11.2. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified so as to best accomplish the original intent of the provision to the fullest extent permitted by law.

11.3. Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any right or provision of these Terms will be effective only if in writing and signed by a duly authorized representative of the Company.

11.4. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without your consent in connection with a merger, acquisition, or sale of all or substantially all of our assets.

11.5. Uncontrollable Events

Muskatier shall not be liable for any failure to perform its obligations under these Terms if such failure is due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, governmental actions, epidemics, or other events that prevent or delay the performance of its obligations. In the event of such an uncontrollable event, we will make reasonable efforts to resume performance as soon as possible. If the uncontrollable event continues for an extended period, Universal Traders Coin may, at its discretion, terminate or modify the affected services without liability.

11.6. Notices

All notices or other communications required or permitted under these Terms shall be in writing and delivered to the other party by email or through the platform. Notices to the Company should be sent to the email address provided on the platform, and notices to you will be sent to the email address associated with your account.
